These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Quantalytiq ("we," "us," or "our"), a professional coaching organization registered in Japan (Registration Number: 77549704).

Quantalytiq provides professional communication coaching services, including but not limited to:

Public speaking training and development
Presentation skills enhancement
Communication confidence building
Professional communication consulting
Related educational resources and materials

Our Services are provided for professional development purposes and do not constitute psychological counseling, therapy, medical advice, or career placement services.

3. Eligibility

To use our Services, you must:

Be at least 18 years of age or the age of majority in your jurisdiction
Have the legal capacity to enter into binding contracts
Provide accurate and complete information during registration
Comply with all applicable laws and regulations
Not be prohibited from using our Services under any applicable law

4. Registration and Account

4.3 Account Termination

We reserve the right to suspend or terminate your account if:

5. Service Booking and Scheduling

5.1 Consultation Requests

When you submit a consultation request or inquiry through our website, you agree that:

The information provided is accurate and complete
We may contact you via email, phone, or other communication methods
Submission does not guarantee availability or acceptance
We will confirm appointments separately via email or phone

5.2 Scheduling and Rescheduling

Once a coaching session is scheduled:

You will receive confirmation with date, time, and location/platform details
Rescheduling requests must be made at least 24 hours in advance
Late cancellations (less than 24 hours notice) may result in forfeiture of that session
Repeated no-shows may result in termination of services

5.3 Virtual Sessions

For virtual coaching sessions conducted via video conference:

You are responsible for having appropriate technology and internet connection
Technical difficulties on your end do not constitute grounds for refund
We will make reasonable efforts to reschedule if technical issues occur on our end
Sessions may be recorded with your explicit consent for training purposes only

6. Payment Terms

6.1 Pricing

Service pricing is determined based on:

Type of coaching program selected
Number of sessions in the package
Duration and frequency of sessions
Any specialized or customized services requested

All prices are quoted in Japanese Yen (¥) unless otherwise stated and are subject to change with reasonable notice.

6.2 Payment Methods

We accept payment through methods specified at the time of booking. Payment is typically required:

In full before single sessions
Before commencement of multi-session packages
According to installment plans when offered

6.3 Payment Processing

By providing payment information, you:

Authorize us to charge the agreed amount
Confirm you are authorized to use the payment method
Agree to pay all applicable fees and taxes
Accept responsibility for any payment processing fees

6.4 Late Payment

If payment is not received when due:

We may suspend Services until payment is received
Late fees may apply as specified in your service agreement
Unpaid balances may be sent to collections
We reserve the right to terminate the coaching relationship

7. Cancellation and Refund Policy

8. Client Responsibilities

As a client of Quantalytiq, you agree to:

Actively participate in coaching sessions
Complete assignments or practice exercises as recommended
Provide honest feedback about your progress and challenges
Apply learned skills and techniques between sessions

8.2 Professional Conduct

Treat coaches and staff with respect and professionalism
Arrive on time for scheduled sessions
Communicate openly and honestly during coaching
Refrain from harassment, discrimination, or inappropriate behavior

8.3 Confidentiality

Respect the confidentiality of other clients if participating in group sessions
Not disclose proprietary coaching materials or methodologies
Not record sessions without explicit written permission

9. Our Responsibilities and Limitations

9.1 Professional Standards

We commit to:

Providing coaching services with professional expertise
Maintaining confidentiality of client information
Delivering services as described in your service agreement
Treating all clients with respect and without discrimination

9.2 No Guarantees

IMPORTANT NOTICE: While we strive to provide high-quality coaching services, we cannot and do not guarantee specific outcomes, results, or success from our coaching programs. Results depend on many factors including your effort, application of skills, external circumstances, and individual capabilities.

We do not guarantee:

Job offers, promotions, or employment opportunities
Specific improvements in interview or presentation performance
Success in any particular professional endeavor
Elimination of all communication anxiety or challenges

9.3 Not a Substitute for Professional Services

Our coaching services are not intended to replace:

Psychological counseling or mental health treatment
Career placement or recruitment services
Legal, financial, or medical advice
Professional therapy for clinical anxiety or speech disorders

If you require these specialized services, we encourage you to seek appropriate professional assistance.

10. Intellectual Property Rights

10.1 Our Content

All content on our website and provided through our Services, including but not limited to:

Text, graphics, logos, and images
Coaching methodologies and techniques
Training materials and resources
Videos, audio recordings, and presentations
Software, code, and website design

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to:

Use coaching materials provided to you for your personal development

Modify, reverse engineer, or create derivative works
Use our content for commercial purposes

10.3 User Content

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Quantalytiq, its directors, employees, coaches, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Lost profits or business opportunities
Employment or career outcomes
Emotional distress or personal injury
Loss of data or information
Costs of obtaining substitute services

Our total liability to you for any claims arising from our Services shall not exceed the amount you paid us for services in the six (6) months preceding the claim.

14. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability
Fitness for a particular purpose
Non-infringement
Uninterrupted or error-free operation
Accuracy or reliability of information

We do not warrant that:

Our Services will meet your specific requirements
Our Services will be uninterrupted, timely, or secure
Results obtained from Services will be accurate or reliable

15. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

15.2 Informal Resolution

Before initiating formal dispute resolution, we encourage you to contact us to seek informal resolution. Many disputes can be resolved through direct communication.

15.3 Jurisdiction

Any legal action or proceeding arising from or related to these Terms or our Services shall be brought exclusively in the courts located in Osaka, Japan, and you consent to the jurisdiction of such courts.

15.4 Arbitration (if applicable)

For disputes that cannot be resolved informally, parties may agree to binding arbitration under the rules of the Japan Commercial Arbitration Association, with proceedings conducted in English or Japanese in Osaka, Japan.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Quantalytiq regarding our Services and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Quantalytiq.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction. Any attempted assignment in violation of this section shall be void.
